This End-User License Agreement ("Agreement") governs use of the Nuon Energy QuickBooks Integration (the "Application") provided by Nuon Energy LLC ("Nuon Energy," "we," "us," or "our"). By accessing or using the Application, you ("User") agree to be bound by this Agreement.
Subject to this Agreement, Nuon Energy grants User a limited, non-exclusive, non-transferable, revocable license to use the Application solely for Nuon Energy LLC's internal business purposes in connection with its own QuickBooks Online account.
User shall not: (a) sell, sublicense, distribute, or make the Application available to third parties; (b) reverse engineer, decompile, or disassemble the Application except to the extent permitted by law; (c) use the Application for any unlawful purpose or in violation of any applicable third-party terms; or (d) access data the User is not authorized to access.
The Application connects to Intuit QuickBooks Online through Intuit's APIs. User's use of QuickBooks Online and Intuit services is governed by Intuit's own terms and policies, and User agrees to comply with them. Nuon Energy is not responsible for Intuit's services.
Information handled in connection with the Application is described in our Privacy Policy, which is incorporated into this Agreement by reference.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUON ENERGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO THE APPLICATION.
This Agreement is effective until terminated. We may suspend or terminate the license at any time. Upon termination, User must cease using the Application and may disconnect it from the QuickBooks account.
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules.
